1. Terms of service

Services

We provide software development, artificial intelligence (AI) solutions, automations, integrations, websites, hosting and related support. The scope, price and timeline of each project are set in a written proposal or invoice accepted by the client.

Instant quotes and options

Prices shown by our website chat, and the options sent through a project link, are estimates based on the information you give. They are not a binding offer. The final scope, price and timeline are confirmed in writing by M305 after we talk. Choosing an option on your project page confirms your interest and acceptance of these terms; work starts once the written proposal and deposit are in place. The chat uses AI and can make mistakes.

Payments

Projects usually require a deposit before work starts and payment per milestone. Late invoices may pause work. Third-party costs (hosting, domains, AI usage, phone numbers, payment processing, app stores) are paid by the client unless the proposal says otherwise.

Client responsibilities

The client provides accurate information, content and access needed for the project, and is responsible for complying with laws that apply to its own business, including messaging consent, recording notices and industry regulations.

Intellectual property

After full payment, the client owns the custom deliverables created specifically for it. M305 keeps ownership of its pre-existing tools, libraries, templates and know-how, and grants the client a non-exclusive license to use them as part of the deliverables. Third-party software remains subject to its own licenses.

AI results

AI systems can make mistakes. The client is responsible for reviewing AI outputs and for decisions made with them. AI tools are not a substitute for legal, medical, financial or other professional advice.

Limitation of liability

To the maximum extent allowed by law, services are provided "as is". M305 is not liable for indirect, incidental, special, consequential or punitive damages, lost profits, lost data or business interruption. Our total liability for any claim is limited to the amount the client paid us for the specific service in the three (3) months before the claim.

Third-party services

We are not responsible for outages, changes or failures of third-party providers (for example hosting, AI, payment, phone or messaging companies).

Dispute resolution and arbitration

Any dispute will first be addressed through good-faith negotiation for thirty (30) days. If unresolved, it will be settled by binding individual arbitration in Miami-Dade County, Florida, under the rules of the American Arbitration Association. Class actions and jury trials are waived to the extent allowed by law. Either party may bring a claim in small claims court if it qualifies.

Governing law

These terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules.

2. 30-day money-back guarantee

If we do not deliver the first agreed milestone within thirty (30) days of receiving the deposit and the information we need, the client may request a full refund of the deposit. If the client is not satisfied with the first milestone and asks within thirty (30) days of its delivery, we will either fix it at no cost or refund the deposit. Refunds do not cover third-party costs already paid on the client's behalf, or work delayed because required information or access was not provided.

3. Privacy policy

What we collect. Information you send through our contact and project forms and our website chat (name, email, phone, messages, project details, and any photos or PDF files you upload) and basic technical data needed to run the website securely.

How we use it. To answer you, prepare proposals, deliver services and keep the site secure. We do not sell your personal information.

Sharing. Only with service providers that help us operate (such as website hosting, email and the AI provider that powers our chat), under confidentiality, or when required by law.

Client data. Data we handle on behalf of clients is used only to deliver their services and is protected with access controls and encryption in transit.

Retention and your rights. We keep contact messages and uploaded files up to two (2) years. Please do not upload passwords, payment card numbers or government ID numbers. You may ask us to access, correct or delete your information by replying to our email or using the contact form.

Messages. We only send text messages to people who agree to receive them. Reply STOP to opt out.

Children. This website is not directed to children under 13.

Garantía de 30 días: si no entregamos la primera etapa acordada en 30 días, o no estás satisfecho con ella y lo dices en 30 días, la arreglamos sin costo o te devolvemos el depósito (no incluye costos de terceros ya pagados).

Privacidad: usamos tus datos del formulario y del chat, y los archivos que subas (fotos o PDF) solo para responderte y darte el servicio. No vendemos tus datos. Puedes pedir verlos, corregirlos o borrarlos. Para dejar de recibir mensajes responde STOP.
